Funds Lawyer (3-5yrs PQE) - Edinburgh/London FUNDS LAWYER – EDINBURGH OR LONDON Brief We are seeking to recruit a private investment funds lawyer into the London or Edinburgh office of our Funds team. The ideal candidate would be a lawyer with 3 to 5 years experience of funds establishment and related work. Our Investment Funds Team Our Funds team act for institutional investors including pension funds and fund managers on the full range of their investment funds work; fund structuring, formation and investment work with a focus on key sectors including real estate, energy, infrastructure, debt and buy-out funds. We advise investors into fund structures and on secondary transactions. African funds are also an area of interest. Our team has seen significant recent growth with one partner and 3 associates joining the existing team in the last 6 months. We now need to recruit again to service our existing work but we have exciting plans which we believe will mean further significant growth. We are committed to invest further in the team and in this practice area. We work closely with members of our tax team to provide the full service of legal advice for the structuring and establishment of funds. The funds team is a part of the financial services group and therefore has the full support of a team of regulatory lawyers to provide advice on the related financial regulation aspects of fund raising - e.g. financial promotion and AIFMD. Our current team includes experienced partners with in-depth experience of all aspects of fund raising including funds established in the Channel Islands, Luxembourg and the Cayman Islands. Also, our Dublin office opens in December and one of the founding partners, Gayle Bowen is a funds partner. With our existing UK team being principally based across our London and Edinburgh offices, we view the addition of Dublin fund capability as an exciting development, particularly with Brexit. Our funds team provides exciting opportunities to grow and develop. We believe that our funds team is at the start of an exciting journey with fantastic opportunities to exploit established relationships within the firm and to explore new relationships from existing good connections. We believe that this is an opportunity for the right candidate to join at the start of an exciting journey. Basic requirements The ideal candidate will be able to support our team and will have experience of advising on various matters relating to establishing and investing in investment funds. It will also be essential that the candidate enjoys business development. Relevant experience will include: drafting constitutional documentation including limited partnership agreements, unit trust deeds and shareholder agreements; drafting and negotiating ancillary documentation such as management agreements and administration agreements; advising on carried interest arrangements; reviewing marketing material and conducting verification exercises; high level advice on UK financial regulation as it relates to investment funds (specifically a familiarity with AIFMD and the UK's financial promotion regime); negotiating fund documentation with investors and dealing with side letter requests; drafting LLP agreements in relation to setting up new managers; dealing with offshore law firms and administrators; reviewing fund documentation for institutional investors and preparing user friendly reports; negotiating with fund counsel when acting for investors (either as cornerstone investor or as a minority investor) and ideally when acting for UK pension funds; and discussing new funds with both start-up and experienced managers. Additional attributes As well as having the experience mentioned above, the candidate should be: strong academically; happy to work on creating marketing material, know-how and being involved in business development – this is a growing team and accordingly we would like the candidate to take an active part in that; prepared to work on a small number of mandates that don't fit a traditional private funds role – this will include joint venture agreements and occasionally advice on M&A transactions in the funds space although that type of work is always done with the support of our corporate team; a team player who can work with different teams and lawyers across the firm; and keen to work in a growing international firm that is making headlines.
