The corporate department offers our clients access to a full range of corporate and commercial legal services. The team advises on private company mergers and acquisitions, corporate finance, private equity, IPOs, re-organisations, share buy backs and corporate governance.
Working as part of a high-performing and growing team, the new recruit will advise clients operating in a variety of sectors on a diverse range of corporate and commercial matters, but with a main focus on private company M&A.
The corporate department is supported by specialists in our other departments, including banking, tax, employment and intellectual property.Responsibilities
We are looking to recruit an Associate into our corporate team and we anticipate that they will support our partners on a variety of deals including but not limited to:
Advising on private company acquisitions and disposals – including both share and business/asset deals.
Advising on private company reorganisations and intra-group transfers.
Setting up acquisition structures including shareholders agreements/investment agreements and shareholder funding arrangements.
Advising on joint venture shareholders' agreements.
Advising on the corporate aspects of management and executive incentive packages.
Advising on general corporate matters including share buy-backs, capital reductions, distributions and corporate governance matters.
Advising on ad hoc day-to-day corporate and commercial queries from our corporate clients.
Our new Associate would also be expected to get involved in business development activities and play a part in the ongoing development and success of the department, including:
Maintaining and developing client relationships.
Pro-active participation in department and firm-wide marketing initiatives.
Assisting with development of junior legal staff including supervising junior members of the team in their work.Specification

Experience and qualifications required
Qualified solicitor with a likely minimum of 4 years post qualification experience.
Directly relevant post-qualification experience gained at a recognised and busy corporate practice.
Proven ability to handle and progress certain matters with minimal supervision.
